Operational management and reporting services
Our wide range of services in relation to unregulated Luxembourg vehicles (as Soparfi and SPF) includes the following:

Incorporation and management services
- Coordination of the incorporation process for Luxembourg companies
- Provision of a registered office for the company, creation and maintenance of a dedicated file and register, as well as arrangement of dedicated office space
- Drafting of bylaws and liaising with the notary public and the players involved (tax advisors, lawyers, auditors) for the incorporation process
- Liaising with a Luxembourg credit institution with respect to the opening of a bank account
- Registration of the company with the competent authorities
- Day-to-day management, assistance and coordination of each project by a relationship manager dedicated to the client

Company secretarial services
- Assistance with the organisation of ordinary and extraordinary shareholders’ meetings, as well as meetings of the board of directors
- Drawing up of the related minutes and attendance lists
- Filing and publication of the resolutions of the annual general meeting
- Other services to the company in order to comply with local regulatory requirements and formalities
- Provision of Luxembourg resident directors and if required, registered with and/or approved by the CSSF

Accounting and reporting services
- Provision of statutory bookkeeping and analytical accounting
- Preparation and filing of the annual accounts of Luxembourg companies
- Assistance with the preparation and presentation of financial statements to Luxembourg chartered auditors

- Preparation of Luxembourg tax returns together with detailed fiscal annexes
- Dispatching of tax returns for signature to the legal representatives of the company and after reception, filing with the tax authorities
- Communication of instructions to debit the account of the company for payment of all due taxes
- Provision of specific advice with respect to the tax situation of Luxembourg companies
