• Domiciliation services

  • Provision of registered office
  • Maintenance of all documents, accounting records, prospectuses and annual reports for 10 years
  • Assistance in the convening, organisation and holding of the board of directors’ meetings
  • Assistance in dispatching of the prospectus and financial reports to the intervening parties

• Registrar & Transfer Agency services

  • Ensuring that the investors meet required legal criteria
  • Processing of income distributions
  • Opening and maintenance of the shareholders’ register
  • Processing of subscriptions, capital calls, redemptions and/or transfer of shares

• Reporting services

  • Computation of Net Asset Value (NAV)
  • Recording of accounting entries and drafting of financial reports, balance sheet and the profit and loss account on an ad-hoc basis (Luxembourg GAAP and IFRS)
  • Preparation of reports to be submitted to the CSSF, BCL
  • Transmission of all available information and supporting documents to the independent auditors
  • Deposit and publication of annual accounts with the Trade and Company Register

  • "Convening of the shareholders" meeting by sending the proxy forms and the related reports
  • Recording and publication of the resolutions of the meeting in the form of extracts
  • Drafting of the minutes of the annual meeting and the list of attendees

  • Preparation of the tax returns
  • Transmission of the instructions to pay the subscription tax
